1. Agreement

This agreement (“Terms”) is between you, the Merchant and Trihan Agro Foods International Pvt Ltd (“Trihan”).By signing up on the GBest Platform,you agree to these Terms.

2. Your Account

• You can create only one account.
• You are responsible for keeping your account information confidential and restricting access to your computer.
• You are responsible for all the activity that happens under your account.
• Your account is non-transferable

3. Change to the Terms

Trihan can change these terms at any time by posting the changes on the GBest platform. You agree to visit the platform regularly to check the changes.

4. Using the Gbest Platform

Trihan will display products and prices on the GBest platform. You can browse, select, and order, products through the platform.

5. Order Process

• Once you place an order.Trihan will provide and estimated delivery time and allow you to track your order status.

6. Product quality and Compliance

• Trihan will supply products based on your order specifications.
• Both parties agree to follow these terms and all applicable laws.
• You understand that Trihan sources products from third party manufacturers and is not responsible for manufacturing related issues.
• Trihan will not liable for deliveries directly from manufacturers to you.

7. Term and Termination

• This agreement starts on the day you receive confirmation from Trihan ( the “commencement Date”) and continues indefinitely unless terminated.
• Either party can terminate the agreement with seven days notice.
• Trihan can terminate immediately if:
• You fail to make payment twice in a row.
• You become insolvent
• Trihan detects fraudulent activity on your account
• Termination does not affect accrued rights and liabilities

8. Pricing

Trihan can change product prices at any time any time without prior notice

9. Quality of Goods

• You are responsible checking the quality and quantity of the products upon delivery.
• You are responsible for using products before expiry date. Trihan will not responsible for the quality of expired products.
• If perishable goods are damaged due to delayed delivery caused by you, Trihan will not issue a refund.

10. Delivery

• Orders will be delivered at the agreed-upon time slot.
• There may be variation in the delivery time.

11. Your Obligations

• You will make timely payment for invoices.
• You will accept delivery of goods promptly. Trihan will only attempt delivery once.
• You will provide necessary information to Trihan.
• You will ensure the information you provide to Trihan is accurate and up-to-date.
• You can request order cancellation, but Trihan does not guarantee it.
• You are responsible for non-delivery due to reasons on your end. Trihan may charge a penalty.
• You are responsible for any loss due to unauthorized account use.

12. Invoices and Payments

• Trihan will provide invoices with deliveries
• You are liable to pay the invoice price.
• Merchant using credit facilities:
• Must clear invoices within credit period.
• Trihan may restrict further order or take legal action for overdue payments.
• Trihan my charge an interest rate for overdue payments
• Trihan may withhold or deduct payments to settle outstanding dues.
• You may need to provide PAN, GST details and other documents for credit facilities.
• You may need to provide post-dated cheques or bank guarantees for credit facilities
• Trihan may encash these if you default on payments.
• You will provide your GSTIN,PAN and other required documents for invoices and payments.

13. Effect of Termination

In case of termination, you will pay all outstanding invoices within seven days . Trihan may charge interest on overdue payments and take legal action.

14. Ownership of content

• Trihan owns all intellectual property rights associated with the GBest platform and its content.
• You agree to protect Trihan’s intellectual property rights
• You cannot modify, reproduce.
